In the course of an entrepreneur’s life, issues of corporate law regularly arise, such as the intended separation (demerger) or merger (amalgamation) of group companies, changes in the legal form (e.g. a conversion of a limited liability company into a public limited company), spin-offs (contributions) of businesses or parts of businesses and much more. Legal advice on such reorganisations is another important part of our daily work.

At an advanced stage, companies are often put up for sale or floated on the stock exchange. Such transactions are also covered by the advisory range of our corporate law/M&A practice. Subject to the respective constellation we also draw on specialists from other practice groups (private clients for corporate succession/inheritance law, capital market law for IPOs). This allows us to offer you first-class specialist know-how to advise you throughout the entire life cycle of your company. And, of course, we also are the right contact for issues of expansion, e.g. as legal advisors in the acquisition of companies and acquisition financing. We carry out legal due diligence reviews for you, draw up and negotiate purchase and loan agreements and support you up to the closing of the transaction and obtain the necessary internal and external approvals.

Our clients particularly appreciate our expertise in the design of corporate succession concepts, reorganisations in private foundations (sub-foundations) and at the interface between corporate and capital market law, such as the support of listed stock corporations.
